1. Introduction

Welcome to Uncalled Innovators (UI) — a platform designed to bridge academia, industry, and innovation by enabling:

  1. Challenge-Solution Module - Where companies post real-world challenges, and students, innovators, and freelancers submit solutions.
  2. Infrahub - A network connecting innovators with institutions and infrastructure providers for specialized resources and equipment.

By accessing or using our platform, website, or services, you agree to comply with and be bound by these Terms and Conditions, along with our Privacy Policy. If you do not agree, please refrain from using UI's services.

2. Definitions

  • "UI" / "We" / "Us" / "Our" - Refers to Uncalled Innovators.
  • "User" / "You" - Any individual, institution, company, or organization using our services.
  • "Challenge Poster" - Companies or institutions posting a challenge in the Challenge-Solution Module.
  • "Participant" - Students, innovators, freelancers submitting solutions.
  • "Infrastructure Partner" - Institutions or individuals listing facilities in Infrahub.
  • "Booking" - Reservation or confirmed usage of listed infrastructure through Infrahub.
  • "Mutual Consent" - Explicit agreement between Infrastructure Partner and UI before any collaboration or pricing arrangement.

3. Eligibility

  • Be at least 18 years old, or have parental/guardian consent if younger.
  • Have legal capacity to enter into binding agreements.
  • Provide accurate and complete registration details.
  • For institutions and infrastructure providers — hold valid licenses, permits, and ownership rights for offered facilities.

4. User Responsibilities

  • Use the platform lawfully, ethically, and in accordance with these Terms.
  • Not post, transmit, or share content that is unlawful, offensive, defamatory, or infringing intellectual property.
  • Keep account credentials secure.
  • Maintain the accuracy of all submitted information.
  • Respect intellectual property rights of other users, companies, and UI.

5. Platform Modules and Usage

5.1 Challenge-Solution Module

  • Posting a Challenge: Companies and institutions may post challenges describing the problem, requirements, and evaluation criteria.
  • Solution Submission: Participants may submit original work only.
  • Evaluation and Selection: Solutions are evaluated by the challenge poster and/or a review panel.
  • Rewards/Compensation: Where applicable, reward terms will be specified in the challenge posting.
  • Intellectual Property (IP):
    • Unless otherwise stated, IP rights of submitted solutions remain with the participant until transferred under a separate agreement.
    • If transfer is part of the reward arrangement, both parties must sign a written transfer agreement.

5.2 Infrahub

  • Infrastructure Listing: Partners may list equipment, machinery, or facilities, providing full details and availability.
  • Booking Policy:
    • All bookings must go through UI's process.
    • Pricing, terms, and usage conditions require mutual consent between the partner and UI before confirmation.
    • Direct private arrangements bypassing UI are prohibited.
  • Usage Rules: Partners must ensure facilities meet safety and operational standards.

6. Fees and Payments

  • UI may charge listing, service, or commission fees as communicated prior to engagement.
  • For Infrahub bookings, UI primarily charges a commission on confirmed bookings.
  • Users are responsible for any applicable taxes, transaction fees, and bank charges.
  • Late or failed payments may result in suspension of services.

7. Prohibited Activities

You must not:

  • Engage in fraudulent, misleading, or harmful conduct.
  • Circumvent UI's booking/payment process.
  • Post false claims about capabilities or resources.
  • Infringe others' intellectual property rights.
  • Use automated bots or scripts to interact with the platform without authorization.

8. Intellectual Property Rights

  • The UI platform, including its design, logos, content, and features, is owned by UI and protected by applicable IP laws.
  • Users retain ownership of their uploaded content but grant UI a non-exclusive license to display and promote it within the platform.

9. Disclaimers

  • UI is a facilitator, not the owner or operator of listed infrastructure or challenges, unless explicitly stated.
  • UI is not responsible for:
    • The accuracy of challenge details or infrastructure listings.
    • The quality, performance, or safety of provided infrastructure.
    • Any disputes between users, institutions, or third parties.
  • Services are provided “as is” without warranties of any kind.

10. Limitation of Liability

  • To the maximum extent permitted by law:
    • UI will not be liable for any indirect, incidental, or consequential damages.
    • Our total liability for any claim will not exceed the total fees paid by the user to UI in the preceding 3 months.

11. Termination

  • UI may suspend or terminate accounts for violations of these Terms.
  • Users may request account closure at any time.
  • Certain obligations (such as IP rights and payment liabilities) will survive termination.

12. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of India.
  • Any disputes will first be attempted to be resolved amicably through negotiation.
  • If unresolved, disputes will be subject to the jurisdiction of courts located in [Insert City, India].

13. Changes to Terms

UI may update these Terms periodically. Changes will be communicated via the platform, and continued use after changes implies acceptance.
